A provision of stock ownership whereby new shares are issued to preferred and common shareholders in proportion to each shareholder's current percentage of ownership. This anti-dilution provision is unusual, in that it is offered to preferred shareholders as well as common shareholders. The new issue is made to increase the number of outstanding shares.
