contingent value rights (CVR)

A shareholder right, often granted to stockholders of a company that has been acquired or merged with, whereby the holder may receive a cash payment if the stock does not achieve a certain price following the new management takeover. The CVR is offered as a gesture to discourage existing stockholders from selling if the stock price doesn't rise quickly.
